TERMS & CONDITIONS

1. LEGAL CAPACITY, ACCEPTANCE, AND MODIFICATION
 
1.1 Contracting Parties: The Company is Floria Naturals owned by Ketaki Industries, a company incorporated under the laws of India, with its registered office at Palghar, Maharashtra.

1.2 Eligibility: Use of the Website is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Individuals under the age of eighteen (18) are prohibited from placing orders on the Website. By accepting these T&C, you represent that you are at least 18 years of age and are competent to contract.

1.3 Acceptance: This Agreement becomes effective and legally binding upon your affirmative action of using the Website or placing an order.

1.4 Modification: We reserve the sole right to revise and amend these T&C at any time without prior notice. The revised T&C will be effective upon posting on the Website. Your continued use of the Website constitutes your binding acceptance of the revised T&C.
 
2. PRODUCTS, PRICING, AND ORDER ACCEPTANCE
 
2.1 Product Description and Accuracy: We endeavour to be as accurate as possible in the description of our products. However, we do not warrant that product descriptions, colours, or other content on the Website are absolutely accurate, complete, reliable, or error-free. Product images are for illustrative purposes and may not perfectly reflect the actual product due to screen settings or the natural variation of ingredients.

2.2 Allergic Reactions and Product Disclaimer (CRITICAL FOR SKINCARE):

• You acknowledge and understand that certain ingredients in our aromatherapy and natural skincare products may cause allergic reactions in some individuals.

• It is your sole responsibility to read the full list of ingredients provided on the Website and on the product packaging, and to perform a patch test before full use.

• By purchasing, you agree that the Company shall not be held responsible or liable for any product-related issues, including without limitation, any allergic reactions, adverse skin conditions, or damages arising from the usage of our products.
   

2.3 Pricing: All prices are in Indian Rupees (INR) and are subject to change without prior notice. Prices displayed are inclusive of GST, unless otherwise stated, but exclude shipping charges, which will be calculated and displayed at checkout.

2.4 Order Acceptance and Contract of Sale:

• Placing an order on the Website constitutes an offer to buy.

• The email or SMS acknowledging your order ("Order Confirmation") is merely a confirmation of receipt and does not signify acceptance of your offer.

• The contract of sale between you and the Company is concluded only when the product is shipped to you and we send an email or SMS confirmation of the shipment ("Shipment Confirmation").

• We reserve the right, at our sole discretion, to refuse or cancel any order for any reason whatsoever before sending the Shipment Confirmation.

 
3. INTELLECTUAL PROPERTY RIGHTS (IPR)
 
3.1 Ownership: All content on the Website, including text, graphics, logos, images, digital downloads, data compilations, software, and the name "Floria Naturals" and its distinctive logos, are the exclusive property of the Company and are protected by Indian and international Copyright, Trademark, and Intellectual Property Laws.

3.2 Restrictions on Use: You may not copy, reproduce, modify, duplicate, republish, upload, post, transmit, or distribute any material from the Website in any manner whatsoever for any public or commercial purpose without our express written permission. You agree not to reverse engineer, modify, or sell any information or software obtained from the Website.
 
4. DELIVERY, CANCELLATION, AND REFUNDS
 
4.1 Shipping: The Company will make all reasonable efforts to deliver products within the estimated timeframe. However, the Company shall not be liable for any delay in delivery caused by third-party courier services, force majeure events, or incomplete/inaccurate customer information.

4.2 Risk of Loss: The risk of loss and title for items purchased from the Website pass to you upon our delivery to the carrier.

4.3 Cancellation by Customer: You may cancel an order only before it has been dispatched (i.e., before you receive the Shipment Confirmation). Once the product is shipped, the order cannot be cancelled.

4.4 Returns and Refunds : Returns, exchanges, and refunds are governed by our separate Cancellation, Returns, and Refund Policy which is incorporated by reference into these T&C. By placing an order, you agree to this policy.
 
5. USER CONDUCT AND ACCOUNT SECURITY
 
5.1 Account Confidentiality: You are responsible for maintaining the confidentiality of your account, password, and for restricting access to your computer. You accept responsibility for all activities that occur under your account or password.

5.2 Prohibited Conduct: You agree not to use the Website to host, display, upload, modify, publish, transmit, or share any information that is grossly harmful, harassing, defamatory, obscene, pornographic, or otherwise unlawful in any manner under Indian law.
 
6. GRIEVANCE REDRESSAL MECHANISM (MANDATORY UNDER E-COMMERCE RULES, 2020)
 
In compliance with the Consumer Protection (E-Commerce) Rules, 2020, we have established a formal mechanism to address consumer complaints.

6.2 Complaint Resolution: The Grievance Officer will acknowledge the receipt of any consumer complaint within forty-eight (48) hours and endeavour to resolve the complaint within a maximum period of one (1) month from the date of receipt.
 
7. LIMITATION OF LIABILITY AND INDEMNITY
 
7.1 Limitation of Liability: In no event shall the Company, its directors, employees, or agents be liable for any special, incidental, direct, indirect, punitive, or consequential damages of any kind, or any damages whatsoever, including for loss of profits or data, arising out of or in connection with the use or performance of the Website or the products purchased, to the maximum extent permitted by Indian Law.

7.2 Indemnification: You agree to indemnify and hold harmless the Company, its affiliates, employees, and agents from any and all claims, liabilities, damages, costs, and expenses (including attorney's fees) arising from your breach of these T&C, or your violation of any applicable law or the rights of a third party.
 
8. FORCE MAJEURE (UNFORESEEABLE CIRCUMSTANCES)
 
8.1 Definition: The Company shall not be liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, acts of God, war, lockouts, epidemics, pandemics, government orders, fires, floods, or failure of the Internet or utility services ("Force Majeure Event").

8.2 Consequence: The obligations of the Company affected by a Force Majeure Event shall be suspended during the continuance of the event, and the Company shall be relieved of its non-performing obligations to the extent affected by such event.
 
9. GOVERNING LAW AND JURISDICTION
 
9.1 Governing Law: These T&C shall be governed by and construed in accordance with the laws of India, without reference to conflict of laws principles.

9.2 Jurisdiction: Subject to Clause 6 (Grievance Redressal), all disputes arising under or in connection with these T&C shall be subject to the exclusive jurisdiction of the competent courts located in Palghar, Maharashtra, India.
